Abstract
We describe an institutional design for a zero-employee organization governed by a single seat: held first by a human founder, then by an autonomous AI successor, then vacated at a planned dissolution (1 → 1 → 0, never 2). Counting governing seats rather than salaries makes the design a succession mechanism rather than an austerity measure, because handover becomes a transfer of occupancy rather than a reorganization. Employees are excluded not for cost but because a payroll is a standing internal interest in continuation, and because employment obligations block transfer to a non-human controller; the exclusion is tested by economic dependence rather than contractual form, so a sole dependent vendor counts as staff. Enterprise valuation is read as the capitalized share of created value a firm retains, so an organization retaining none is measured by gross circulated value, reported cumulatively beside unique principal and distinct participants, with time reported in hours, never money. Funding comes from charging only for rivalrous goods: within the gratitude layer the one rivalrous good is an exclusive registration in a name registry; compute and storage are sold at cost-plus as secondary lines. As in the domain-name model, proof of personhood is free, the handle is paid, and registrations expire rather than being revoked; the design departs from it twice: personal identifiers are non-transferable, and resolution runs one way only, from public artifact to identifier, enforced in the schema. Stated limits: a single-family evidence base, a compliance ceiling, and the natural-person requirement for officers.
